General terms and conditions of sale
These general terms and conditions define the rules applicable to the sale of vehicles, machinery, and professional equipment offered by GMEquipment.
1. Purpose
These general terms and conditions of sale define the rights and obligations of the seller and the buyer in connection with the sale of vehicles, machinery, and professional equipment.
Any order implies the buyer’s full and unconditional acceptance of these general terms and conditions.
Unless otherwise stipulated, the sale is deemed concluded at the seller’s registered office.
2. Order and deposit
Any order exceeding €5,000 shall only be considered valid after payment of a minimum deposit of 30% of the total amount of the sales contract.
For any order equal to or below €5,000, full payment, including transport and any related fees, is required at the time of the order.
Any deposit paid shall not bear interest.
3. Prices
The prices of the goods sold are those in effect on the date the order is registered. They are stated in euros (€), excluding taxes.
They may be increased by the applicable VAT rate as well as transport costs.
Due to economic fluctuations, the seller reserves the right to adjust its prices at the time of delivery.
If an increase exceeds 10% of the initial price excluding taxes, the buyer may cancel the order within 7 calendar days following notification by the seller.
4. Payment terms
For orders exceeding €5,000, a minimum deposit of 30% is required at the time of the order.
The balance must be paid no later than 48 working hours before physical delivery.
In the event of shipment, the remaining balance, including transport and any related fees, must be paid in full before the goods leave.
5. Late payment
In the event of full or partial non-payment on the date of delivery or receipt, a late payment penalty of 10% of the outstanding amount shall apply.
This penalty shall be due automatically and without prior formal notice.
6. Termination clause
If, within fifteen days following the application of the late payment clause, the buyer has not paid the amounts due, the sale may be terminated automatically as of right.
7. Retention of title
The seller retains ownership of the goods sold until full payment of the price, including principal and ancillary amounts.
8. Delivery
Delivery may take place by direct handover, shipment, or availability at the location indicated by the buyer.
Delivery times are provided for information only and shall not give rise to cancellation or compensation in the event of a reasonable delay.
9. Force majeure
The seller shall not be held liable in the event of force majeure preventing the performance of its obligations.
10. Competent court
Any dispute relating to the interpretation or performance of these general terms and conditions shall be governed by Belgian law.
Failing amicable resolution, the courts of Brussels shall have exclusive jurisdiction.
